本服务由 Yawei Global Limited(公司编号 81320968,香港,以下简称“YAWEI”“我们”或“平台”)通过 yawe.ai 提供。
- 制作或传播违反适用法律、危害国家安全、恐怖主义、暴力极端主义、赌博、毒品或其他违法内容;

Important Notice
This Agreement is the unified, legally binding agreement between you and Yawei Global Limited governing use of the yawe.ai Services by individuals and enterprises and for business, professional, brand-promotion and e-commerce purposes. Matters involving personal data and cross-border processing are also subject to the Privacy Policy and the Refund Policy displayed on the Platform at the relevant time and any applicable data-processing agreement.
Contracting Party, Definitions and Scope of Application
The Services are provided through yawe.ai by Yawei Global Limited (Company No. 81320968, Hong Kong, hereinafter referred to as "YAWEI", "we" or the "Platform"). The email address for customer service, privacy matters, infringement complaints and legal notices is Official@yawei.ai.
"Services" means the AI-powered scriptwriting, storyboarding, image, video, audio, character-consistency, virtual-character, voice-generation, asset-management, storage, export and related features provided through the website, applications, enterprise workspaces, and any API, SDK or automated workflow made available by YAWEI in writing. The specific features available are subject to your order, plan and the applicable service page.
"User" includes a natural person using the Services in an individual capacity, as well as an enterprise, institution or other organization on whose behalf this Agreement is accepted by a duly authorized representative. Administrators, members and invited users of an enterprise account, and persons who access the Services through an enterprise account, are collectively referred to as "Enterprise Members".
"Commercial User" means a User who uses the Services primarily for trade, profession, brand promotion, e-commerce operations or another commercial purpose. "E-Commerce Activities" include displaying, marketing or advertising goods or services, live commerce, social-media distribution, store operations, sales, fulfillment, after-sales service and related activity. If mandatory law nevertheless treats a User as a consumer, that User's non-waivable rights are not excluded by these definitions.
"Authorized Channel" means a channel partner authorized by YAWEI in writing to promote, refer or sell specified accounts or plans. A Platform, model, technical-environment or feature name does not by itself identify a separate contracting entity or grant a User any right in the relevant name, technology or asset.
Unless otherwise agreed by the parties in writing, the Platform provides only general-purpose generation, editing, computing, storage, asset-management and export tools. You independently provide or select the materials and instructions, independently decide whether to adopt, modify, publish or commercially use any Output, and independently determine the place and account of publication, audience, advertising claims, product transactions and subsequent dissemination.
Once content has been downloaded, exported, copied or transmitted to a third-party system, it will generally fall within your independent control. Unless you voluntarily inform us, transmit information back through a Platform publishing interface, we receive a complaint, or processing is required by law, the Platform does not continuously track where the content is actually published, the persons to whom it is disseminated, subsequent edits, placement or transaction outcomes.
The nature of the Platform as a tool does not relieve YAWEI of any obligations imposed by law in relation to personal data protection, content safety, consumer protection, record-keeping, remedial action or reporting. Any disclaimer, limitation of liability or User indemnification provision applies only to the extent permitted by applicable law.
Formation of the Agreement, User Eligibility and Purchases Through Authorized Channels
This Agreement is formed when you affirmatively tick the box indicating your agreement to this Agreement and the Privacy Policy and complete registration, a purchase, redemption, your first login or your first use of the Services. We may record the version of the Agreement, time of acceptance, account, device and necessary audit information for the purposes of evidencing formation of the Agreement and resolving disputes.
You must be at least 18 years old and have full legal capacity as required by the law of your location. Minors must not register for, purchase or use the Services.
If you accept this Agreement on behalf of an enterprise or other organization, you confirm that you have full authority to bind that organization and its Enterprise Members to this Agreement. If you do not have authority to accept this Agreement on behalf of another person, you will bear the relevant responsibility in your individual capacity.
Whether you purchase directly from YAWEI or purchase, redeem or activate the Services through an Authorized Channel, by registering for, logging in to or using yawe.ai, you establish a Platform service relationship with YAWEI and agree to be bound by this Agreement. Payments, invoices, offline services or other separate arrangements between you and the Authorized Channel are subject to the applicable order and channel agreement.
Unless expressly authorized by YAWEI in writing, an Authorized Channel has no authority on behalf of YAWEI to amend this Agreement, waive any User obligation, guarantee generation results or the outcome of a third-party platform review, promise any refund or compensation, or otherwise bind YAWEI. You must not rely on any oral or informal commitment made by personnel of an Authorized Channel unless it has been confirmed in writing.
This Agreement does not itself grant any User or Authorized Channel the right to resell or distribute the Services, appoint sub-agents, white-label or sublicense the Services, share API keys, or further integrate the Services into its products. Any such right must be set out in a separate, valid written agreement signed by YAWEI and the relevant party.
Certain models or features are available only in specified countries or regions, or for specified account types or plans. You must not circumvent any geographical, identity, plan or compliance restriction by using a false address, proxy account, technical workaround or other means.
Accounts, Information Review and Enterprise Workspaces
You must provide true, accurate, complete and up-to-date identity, enterprise, contact, payment and intended-use information. To comply with Platform, payment, security or legal requirements, we may conduct risk-proportionate verification of an individual's real identity, enterprise KYB information, mobile phone, payment instrument or authorization documents.
In principle, an account may be used only by the registered account holder and, for an enterprise account, its authorized Enterprise Members. You must properly safeguard passwords, devices, verification codes, API keys, tokens, callback URLs and administrator privileges, and must not rent, lend or sell them, or share them with any unauthorized person.
Enterprise administrators may, within the scope expressly stated on the applicable service page, invite or remove members, configure permissions, and access, export or delete workspace data. An Enterprise Customer must ensure that administrator instructions are internally authorized and must promptly remove permissions when an employee leaves, changes roles or ceases working for or with the Enterprise Customer.
An Enterprise Customer must establish procedures for member access, least-privilege permissions, asset authorization, publication approval, key management and offboarding. The Enterprise Customer is contractually responsible for managing its Enterprise Members and operations carried out through its account, workspace or API keys, except to the extent that a loss is directly caused by a security defect attributable to the Platform.
Operations carried out through your account, device, workspace or credentials will, in principle, be treated as having been carried out by you. If you discover that your account has been compromised, an API key has been leaked, anomalous API calls have occurred or an Enterprise Member has exceeded their authority, you must immediately disable the relevant permissions, rotate the credentials and notify the Platform.
Personal identity documentation, enterprise KYB, payment-instrument and representative-authority review applies only to the relevant account and entity. You must not submit materials for another person, forge or share review materials or results, or circumvent review at scale.
If a loss is increased because you failed to take reasonable security measures or provide prompt notice, you are responsible for the increased portion of that loss, except to the extent caused by the Platform's own security defect, fraud, willful misconduct or gross negligence.
The Services, Models and Characteristics of AI Outputs
The Services may use third-party model, cloud-computing and security technologies. YAWEI is responsible for product integration, User management and service delivery at the Platform level; third-party technical, geographical, capacity and use restrictions may affect specific features and availability.
AI generation is probabilistic. Outputs may contain errors, be incomplete or distorted, resemble other Outputs, depict persons or products inconsistently, or fail to meet your aesthetic or commercial expectations. A generation request may also fail to produce an Output. Identical or similar Inputs may produce different results, and other Users may also receive similar results.
If you use an Output to promote or sell goods or services, you are the relevant seller, merchant, advertiser, content publisher and transaction-responsible party. Unless expressly agreed otherwise in writing, YAWEI is not the manufacturer, importer, distributor, certifier, advertising agency, broker, fiduciary, partner, employer, publishing platform or consumer-facing merchant of record.
Outputs, templates, prompts, reviews, scores, recommendations and safety notices provided by the Platform do not constitute approval, a guarantee, certification or professional advice concerning any product, service, advertisement, legal compliance, platform policy, intellectual property, sales result or particular use.
YAWEI does not warrant that any Output will be approved by a third-party platform, attract traffic, or achieve reach, clicks, conversion, GMV, profit or another commercial result, or that a third-party account, advertising account or store will not be limited, rejected, penalized, suspended or closed.
You must conduct a human review before publishing or commercially using an Output, with particular attention to product efficacy, prices, promotions, comparative advertising, disclaimers, intellectual property rights, authorization for likenesses and voices, industry licenses and local advertising standards. AI Outputs do not constitute legal, medical, financial, compliance or other professional advice.
Automated review, identity-document review, review of rights documentation or safety notices implemented or commissioned by the Platform are risk-control measures and do not constitute substantive confirmation or any guarantee of ownership of materials, or of the legality, authenticity or accuracy of an Output or its suitability for a particular use.
We may adjust models, features, usage limits and service regions on the basis of legal or safety requirements, technical upgrades, capacity or commercial arrangements. If an adjustment has a material adverse effect on a core feature for which you have paid, we will, to the extent reasonably practicable, provide advance notice and offer an alternative, service compensation or a refund for the unperformed portion, except where urgent safety or legal requirements apply.
When using a specific model or asset feature, you must also comply with any applicable third-party acceptable-use policy and special rules prominently displayed or linked on the applicable service page. Material changes to those rules will be notified under the update mechanism in this Agreement and must not derogate from any mandatory rights available to consumers under applicable law.
Without authorization, you must not reverse engineer the Services; extract model weights or parameters; circumvent safety filters; interfere with systems; scrape non-public data; disclose an unremediated vulnerability; or use the Services, any Input or any Output to train, fine-tune or optimize another model, or to develop model capabilities that directly compete with the Services.
You must not sell, rent, resell or sublicense model services on a standalone basis, make an API key or model capability available to a third party for further integration, or assist another person in carrying out any such activity, unless otherwise expressly agreed in writing between YAWEI and you.
Prices, Credits, Subscriptions, Billing and Refunds
Prices, currencies, taxes, plan entitlements, usage allowances, credit consumption, billing cycles, automatic renewal and key restrictions are subject to the purchase page, the Authorized Channel order or an enterprise order signed by both parties. The total price payable and material billing terms will be displayed before payment.
Credits may be used only to redeem features within the Services and are not deposits, electronic money or freely transferable assets. Whether credits included in a subscription carry over, and their period of validity, are subject to the applicable plan page. Unless otherwise stated, paid credits purchased separately are valid for twelve months from the date of purchase. The period applicable to complimentary or promotional credits is as stated when they are issued.
Whether a generation task has been completed and the number of credits consumed will be determined by objective records, including request identifiers, task status, resource consumption and delivery logs. If, due to a Platform system failure, a task does not start, credits are deducted more than once, or no accessible Output is produced, the Platform will return the corresponding credits, arrange a retry, or process the matter in accordance with the applicable refund rules.
Once a task has started and computing resources have actually been consumed, credits may still be consumed if you do not use the Output because you cancel the task, provide an erroneous Input, experience a network interruption, change your requirements, or the task undergoes a safety review, unless otherwise expressly stated on the purchase or generation page or required by applicable law.
If a subscription includes automatic renewal, we will obtain your express authorization before purchase and provide billing reminders in accordance with applicable law. You may cancel future renewals through your account settings, a channel displayed on the purchase page, or by emailing Official@yawei.ai. Cancellation does not affect your use of the Services during a period for which you have already paid.
Consumed credits, completed generation tasks and digital services whose performance has begun are generally non-refundable, except where mandatory local law requires otherwise, the purchase page contains a refund commitment, charges were duplicated, the Platform materially failed to perform, or no accessible service was provided. Aesthetic preferences, marketing results, traffic restrictions imposed by a third-party platform or failure to pass that platform's review, errors in your Inputs, and restrictions resulting from a User violation do not automatically constitute grounds for a refund.
If payment is made through an Authorized Channel, the payment recipient, tax invoice, exchange rate, fees and party responsible for processing a refund are as specified in the order. The Authorized Channel is responsible for handling funds that it independently collects, but YAWEI will assist in verifying Platform service records to the extent within its control.
You must not use a payment instrument without authorization, initiate a chargeback in bad faith, falsely claim that the Services were not delivered, or repeatedly and fraudulently obtain promotions through related accounts. To the extent permitted by law, you are responsible for chargebacks, refunds, Authorized Channel fees, investigation costs and other direct and reasonable losses resulting from your fraud or material misrepresentation.
If local law requires separate confirmation in respect of the immediate performance of digital services, a cooling-off period or a right of withdrawal, the Platform will obtain that confirmation separately through the purchase process. This Agreement does not limit any mandatory refund or withdrawal right available to consumers under applicable law.
The specific rules for refunds and billing disputes are set out in the yawe.ai Refund Policy, which forms part of this Agreement. To prevent fraud and abuse, the Platform may, in accordance with the Refund Policy, require identity verification in connection with a refund or billing dispute; where you provide false information, fabricate non-delivery or make repeated claims through linked accounts, the Platform may refuse to process the matter, suspend the account and seek recovery as permitted by law.
User Assets, Reference Assets and Chain of Authorization
"Custom Assets" means text, prompts, images, videos, audio, voices, fonts, trademarks, templates, characters, virtual likenesses and other materials created and uploaded by you or the relevant rights holder. "Authorized Assets" means Assets that contain third-party intellectual property, likeness, voice, name, privacy, personal data or other lawful rights or interests and for which you have obtained complete authorization from all relevant rights holders.
You retain your pre-existing rights in lawful Inputs and Custom Assets and continuously warrant that you lawfully own the relevant intellectual property rights and other rights and interests, or have obtained from all rights holders complete, valid and demonstrable authorization sufficient to cover the intended manner of use.
You warrant that there is no uncertainty of title, defect in authorization, expiry of authorization, use beyond an authorized territory, medium or purpose, restriction on onward processing or sub-processing, or other such issue affecting an Asset. You also warrant that using the Asset for model generation and subsequently using the Output will not infringe any copyright, trademark, trade secret, likeness, voice, name, privacy, personal data, reputation or other lawful right or interest.
If an Asset contains the likeness, voice, name, review or personal data of an identifiable natural person, before upload or use you must obtain valid authorization covering AI processing, editing, reproduction, generation, storage, export and intended publication, and must handle withdrawal, deletion, takedown and complaint requests. Acceptance of an upload or failure to block it does not validate the authorization.
Virtual likenesses, templates and other Reference Assets provided by the Platform and labeled "reference", "trial", "demo" or "internal use only" may be used only within the labeled scope. Without YAWEI's express written permission, you must not copy, download, compile, distribute or sell them, use them outside the Platform, or use them to establish a competing asset library.
You may use a template or other material owned by YAWEI or commercially licensed to YAWEI and expressly approved for commercial use on the applicable service page within the territory, term, channels and purposes permitted by the corresponding license. The specific license label and purchase page take precedence.
For the purpose of providing, protecting and maintaining the Services, you grant YAWEI a limited, non-exclusive, worldwide and royalty-free license to host, reproduce, transmit, convert the format of, generate from, review, troubleshoot, deliver and lawfully handle or dispose of the relevant Assets. YAWEI may engage necessary processors solely to the extent required for those purposes. This license does not transfer your ownership.
Unless you separately make an affirmative choice and give consent that may be withdrawn, YAWEI will not use your Inputs or Outputs to train a general-purpose or shared foundation model intended for other customers. Content safety, anti-fraud measures, authorization verification, complaint handling, service troubleshooting, and processing or retention lawfully performed by necessary processors do not constitute model training.
You must retain source files, production and modification records, purchase, commissioned-work or assignment agreements, intellectual-property and personality-rights authorizations, product qualifications, claim substantiation, approval records, AI-tool records, generation logs and published versions for at least three years after the last generation or publication of the relevant Asset, or until the end of any complaint, audit, dispute, limitation period and contractual recourse, whichever is later. Personal data remains subject to minimization and deletion requirements.
Upon receipt of a rights complaint, a reasonable query from the Platform or a request from a competent authority, you must submit verifiable materials within the period specified in the notice, which will generally not exceed 48 hours, and must cooperate immediately where there is an urgent risk. If you cannot establish the source of the rights or the scope of authorization, you must not continue to upload, generate or use the relevant Asset.
If authorization is withdrawn, terminated or becomes subject to a dispute, you must immediately cease any new generation or dissemination, take measures to delete, correct or take down the relevant material, and notify the Platform. You must not circumvent a restriction by re-uploading the material, altering it, using a related account or changing channels.
Enterprise Customers and Authorized Channels must ensure that their employees, members and appointed personnel have internal authorization to upload Assets, and bear management responsibility for uploads and generation carried out through their accounts. The fact that an employee uploads an Asset does not, by itself, mean that YAWEI created or commissioned that Asset.
Acceptable Use and Prohibited Conduct
You must not use the Services to engage in, assist, encourage or prepare to engage in any of the following conduct:
- creating or disseminating content that violates applicable law, endangers national security, or involves terrorism, violent extremism, gambling, drugs, or other unlawful matters;
- promoting, selling or facilitating goods or services that are unlawful, infringing, counterfeit, recalled, dangerous, stolen, sanctioned, unlicensed or prohibited by the target platform;
- creating content involving the sexualization, nudity, exploitation, enticement, or impersonation of minors, or other inappropriate content involving minors;
- using another person's likeness, voice, name or identity without authorization to create a false endorsement, impersonation, non-consensual intimate imagery or other misleading content;
- impersonating a government, financial institution, brand, public figure, or another person to commit fraud, phishing, extortion, identity theft, false fundraising, or a misleading transaction;
- creating defamatory, harassing, hateful, discriminatory, threatening, or non-consensual intimate content, or content that seriously harms another person's reputation, privacy, or personal dignity;
- fabricating news, evidence, identity documents, proof of authorization, product qualifications, certifications, test reports, medical efficacy, User reviews, or transaction records;
- unlawfully using the Services for political advertising, election influence, public safety, financial credit, recruitment, educational admissions, insurance, medical diagnosis, law enforcement, or other high-risk automated decision-making;
- infringing intellectual property rights, trade secrets, personal data, privacy, likeness, voice, name, reputation, or other lawful rights and interests;
- maliciously deleting, tampering with, or concealing AIGC labels, provenance credentials, copyright notices, watermarks, metadata, or other signals of generation;
- circumventing content-safety measures, identity and authorization verification, access controls, rate limits, geographic restrictions, or other technical protections;
- reverse-engineering, extracting model parameters, distributing malicious code, attacking systems, scraping without authorization, or imposing an unreasonable load on the Services or others; or
- using any model, Input, or Output for unauthorized model training, fine-tuning, data labeling, competitive model development, or another use prohibited by Platform rules.
You must not conceal your true intent, evade security measures or induce the Platform, an Authorized Channel or any of their personnel to assist in illegality, infringement or fraud through split instructions, homophonic encoding, a false background, translation or conversion, prompt injection, automated scripts, third-party proxies, transformed materials, linked accounts or any other means.
The Platform may use automated and manual methods to identify risks and, depending on their severity, may issue warnings, refuse generation, restrict exports, delete or quarantine Assets, apply rate limits, suspend functions, freeze accounts, terminate the Services, preserve evidence, report matters as required by law, or take other measures.
To investigate complaints, anomalous transactions, security incidents or suspected violations of law, we may, to the extent necessary, require supplementary information concerning identity, authorization, purpose, payment, publication and downstream users. You must cooperate truthfully, completely and promptly, and must not damage, delete or tamper with evidence or instruct another person to make a false statement.
Where a regulatory requirement applies, or there is a risk involving personal safety, minors, non-consensual intimate content, fraud, material infringement, a system attack, loss of evidence or rapidly expanding harm, the Platform may immediately take necessary measures without prior notice and, once permitted by law and the risk has diminished, provide reasons and an opportunity to appeal.
The Platform may retain User IDs, Asset IDs, request identifiers, Inputs and Outputs, generation times, models and versions, authorization records, operation logs, and disposition records for content traceability, auditing, dispute resolution and compliance with statutory obligations. Specific processing is governed by the Privacy Policy.
Outputs and Intellectual Property
As between the Platform and you, the Platform does not claim ownership of rights you hold in lawful Inputs. You must independently ensure that you hold all rights and authorizations required to submit and use each Input, and bear responsibility for any defect in the source of, or authorization for, an Input.
To the extent permitted by applicable law and provided that no pre-existing rights of the Platform or a third party are involved, Outputs constitute your customer data, and YAWEI does not claim ownership of the Outputs themselves. Whether an Output constitutes a protected work, who owns the relevant rights, and whether it can be registered or commercialized will be determined under applicable law and based on your actual creative contribution and the licenses applicable to the materials.
Subject to your compliance with this Agreement and payment of applicable fees, to the extent YAWEI actually owns and may license rights in a lawful Output, YAWEI grants you a non-exclusive, worldwide license, for the duration of those rights, to use that Output for lawful personal or commercial purposes. Restrictions applicable to third-party materials, Reference Assets and the relevant licenses take precedence.
AI Outputs may lack originality or exclusivity and may be identical or similar to content of other Users or third parties. The Platform does not warrant that any Output is registrable, exclusive, necessarily non-infringing, or suitable for a particular commercial purpose.
Intellectual property rights in the Services and their software, interfaces, trademarks, model orchestration, workflows, documentation, security mechanisms and Platform content are owned by YAWEI, other licensors or the relevant rights holders. Except as expressly permitted by this Agreement, you must not copy, rent, sublicense, reverse-engineer or create a competing derivative service.
Fonts, music, templates, stock images, virtual likenesses, trademarks, or other third-party materials contained in Outputs may be subject to separate restrictions concerning territory, duration, channels, commercial use and attribution. You must comply with the scope of the license displayed on the Asset page or in the order.
If you voluntarily make content public using the Platform's public-display or sharing functions, you grant YAWEI a non-exclusive, royalty-free, limited license to reproduce, transmit, convert, display and distribute that content to the extent necessary to operate those functions. YAWEI may engage necessary processors solely to the extent required to operate those functions. The license terminates when you delete the public content, except with respect to caching, retention required by law and evidence relating to disputes.
YAWEI may use, free of charge, product-improvement suggestions that you provide to the Platform to improve the Services, but this does not include your confidential information, your Assets, or intellectual property requiring separate authorization.
Complaints concerning intellectual property, likeness, voice, or other rights may be sent to Official@yawei.ai. The suggested email subject is "Rights Complaint," and the email should include proof of rights, the location of the allegedly infringing content, contact details, and a good-faith declaration.
AI Labeling, Commercial Use and Off-Platform Responsibility
In accordance with applicable law and Platform rules, the Platform may add visible or invisible AI-generation labels, audio notices, content credentials, watermarks, file metadata, or other technical signals to Outputs.
You must not maliciously remove, obscure, tamper with, forge or circumvent any copyright notice, provenance credential, watermark, label, metadata or other signal indicating that content may have been generated by AI.
The fact that certain Outputs do not contain a visible label does not mean that you may remove an invisible or machine-readable label or falsely represent the content as a genuine recording, nor does it relieve you of your obligation to label the content upon public release in accordance with the law of the place of release and the rules of the relevant third-party platform.
You exercise independent discretion over the final version for release and must conduct a human review of any content after you add to it, delete from it, edit it, dub it, rewrite it, splice it, change its labels, configure its placement or combine it with other materials.
When you publish, place as advertising, display, sell or otherwise use an Output, you must verify the content, advertising, consumer-protection, e-commerce, intellectual-property, personal-data, industry-licensing, product-labeling, tax and platform rules applicable to the place of publication, target audience and specific industry, and obtain all required approvals, qualifications and authorizations.
If an Output is used for advertising, promotion or E-Commerce Activities, you are the advertiser and final approver and must ensure that the overall content is truthful, accurate, clear, verifiable and not misleading. You must not create or use false or unsubstantiated claims concerning sales, reviews, rankings, awards, certifications, performance, comparisons, original prices, discounts, time or quantity limits, stock, testimonials or brand relationships. Sponsorship, payment, gifts, affiliate relationships and material editing must be clearly disclosed where required.
You must ensure that goods and services promoted, displayed or sold may lawfully be offered in the target country, territory and platform and that you hold all necessary business qualifications, authority, import approvals, product registrations, tests, certifications, labels, instructions and after-sales capabilities. Claims concerning performance, health, safety, sustainability, certification or market leadership must be supported by lawful and adequate evidence matching the scope of the claim.
You are independently responsible for price, currency, taxes, inventory, offers, payment, order confirmation, logistics, delivery, invoices, returns, warranties, customer support, consumer complaints, recalls and mandatory disclosures. YAWEI is not a party to transactions between you and consumers, does not collect consumer purchase payments and is not jointly liable for product quality, authenticity, fitness or seller performance, except where expressly agreed in writing or required by mandatory law.
After an Output is exported or delivered, you are responsible for its subsequent modification, combination, translation, voice-over, reposting, advertising targeting, budget, bidding, publication timing, publishing account, audience, landing page, fulfillment and distribution chain, and must manage related conduct by Enterprise Members, employees, creators, e-commerce operators, agents and media buyers.
Third-party rejection, takedown, reduced distribution, points, fines, advertising-account loss, store suspension, payment hold, domain or application blocking, negative reviews, returns, refunds, chargebacks or consumer claims do not by themselves constitute YAWEI's breach or a refund basis, except to the extent directly caused by YAWEI's own attributable breach.
Without YAWEI's written consent, you must not state or imply that YAWEI, an Authorized Channel or any third-party rights holder is the publisher, advertiser, co-producer, endorser, sponsor, seller, compliance reviewer or guarantor of the relevant content, goods, services or transaction.
If you use an Output in a medical, financial, lending, insurance, political, recruitment, education, public-safety, professional-advice, regulated-goods or other high-risk context, you must independently obtain qualified professional and legal review. A context prohibited by the Platform does not automatically become permitted because a third-party opinion has been obtained.
The Platform generally has no authority to directly delete content that you have published to a third-party account, private or closed channel, customer system, or offline medium. Upon receipt of a valid complaint or a request from a competent authority, you are responsible for promptly taking the content down, discontinuing its placement, publishing corrections, handling appeals, and providing relevant records.
Enterprise Customers, API and Downstream User Management
Enterprise plans, APIs, SDKs, white-label offerings, channel distribution, and other commercial permissions are available only within the scope expressly authorized by an order, Enterprise Services Addendum, or channel agreement signed by both parties. This Agreement alone does not grant any right of resale or reintegration.
An Enterprise Customer must ensure that all administrators, members, invited users and actual end users who invoke the Services through its systems comply with requirements no less stringent than those in this Agreement concerning authenticity of identity, Asset authorization, content safety, AI labeling, cooperation with investigations and off-platform publication.
An Enterprise Customer must establish, at the end-user level, a trusted-materials library, copyright-authorization library and personality-rights authorization library, with capabilities for reviewing and retaining authorization documentation, issuing alerts and ensuring traceability, and must cooperate with compliance audits by YAWEI where required by the applicable order.
An Enterprise Customer must retain the mappings among actual end-user IDs, request times, request identifiers, Asset sources, chains of authorization, model versions, Inputs and Outputs and publication instructions, and must maintain records of warnings, takedowns, freezes, bans and appeals.
API keys must not be made public or hard-coded into a publicly accessible client. On discovering a leaked key, anomalous call, forged-content attack, circumvention at scale or serious security incident, the Enterprise Customer must immediately block the affected access, rotate credentials and notify YAWEI within the shortest reasonably practicable time; a specific deadline in an applicable Enterprise Security Addendum prevails.
Without YAWEI's written consent, an Enterprise Customer must not independently resell API or model capabilities or provide them to another UGC platform or AI content-creation tool for reintegration, and must not allow its customers to develop downstream customers, share credentials or operate as a model service bureau.
An Authorized Channel, white-label arrangement or integration collaboration approved in writing must comply with the corresponding channel agreement, order, data-processing agreement and security addendum. In the event of a conflict, those written documents prevail only within the scope expressly authorized by them.
An Enterprise Customer is responsible for deficiencies in end-user management, credential leaks, unauthorized resale, false authorization or delayed security response attributable to it and, to the extent permitted by law and attributable to its fault, must compensate YAWEI for reasonable losses arising from third-party claims or contractual recourse.
Third-Party Services, Publishing Platforms and Channel Responsibilities
The Services may rely on third-party models, cloud services, storage, payment services, notification services and publishing platforms. With respect to service providers that it appoints and manages, YAWEI must fulfill the obligations imposed by applicable law regarding reasonable selection, contractual restrictions and oversight.
When you directly enable a third-party service and accept its terms, a separate relationship is formed between you and that third party. The availability, review, rate limiting, takedown, account closure, payment rejection or policy changes of a third-party service may be beyond YAWEI's reasonable control.
Your creation of accounts, publication, livestreaming, advertising, sales, collection of payments, and interaction with customers on TikTok, YouTube, Instagram, Facebook, e-commerce platforms, or other channels are your independent activities and are governed by your relationships with the relevant platform and transaction counterparties.
Even if the Platform provides one-click export, format adaptation, or a publishing interface, the publication instruction is still initiated by you, and the publishing account and final content are still selected by you. A technical connection does not, by itself, make YAWEI the publisher, advertiser, seller, or joint operator of off-platform content.
A link, export format, plugin, API or connector does not mean that YAWEI controls, endorses, represents or guarantees a third-party service. Unless the parties sign a separate advertising-management or e-commerce-operations agreement, YAWEI does not manage advertising funds, determine budgets, bids, audiences or attribution, or act as a media buyer, advertising agency or store operator.
An Authorized Channel must sell or support products only within the scope of YAWEI's written authorization. Independent operation, training, content-production services, advertising or customer services provided by an Authorized Channel do not, by themselves, make YAWEI liable, except for defects in YAWEI's own products or liability that cannot be excluded by law.
If, because of your off-platform publication, the Platform is mistakenly identified as the publisher, advertiser, seller, sponsor or guarantor of rights, you must promptly provide the account-ownership details, publication instructions, chain of authorization, final version, placement configuration and transaction records and assist in clarifying the parties' actual roles.
Privacy, Data Processing and Confidentiality
YAWEI processes personal data in accordance with the Privacy Policy, the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486) and other applicable data protection laws. Separate consent for cross-border transfers, marketing, model training or other matters requiring separate consent will be obtained through a separate, affirmative and revocable mechanism.
To provide model, cloud, storage, review and security services, YAWEI may engage necessary processors to process Inputs, Outputs, usage logs and related technical data. The specific purposes, categories, retention periods, regions, deletion rules and methods for exercising rights are set out in the Privacy Policy and applicable data-processing agreement.
If data must be transferred to a service region outside Hong Kong, we will implement contractual, security and other cross-border safeguards in accordance with applicable law and, where required, obtain separate consent.
Where an Enterprise or Commercial User provides the Platform with data relating to employees, customers, consumers, models, creators or other third parties and determines the purposes and means of processing, that User will ordinarily be the relevant data controller and is responsible for lawful basis, notices and consent, rights requests, retention periods, cross-border arrangements and security measures. YAWEI acts as a processor only within the applicable data-processing agreement, your lawful instructions and applicable law.
Unless required for a specific, lawful and necessary service or business purpose and supported by all required notices, consent and other requirements, you must not upload identity documents, contact details, orders, chats, location, financial, health, children's or other personal data. You must implement data minimization, de-identification, access controls, key protection, device security and member-permission management.
For security, anti-fraud, content moderation, authorization verification, complaint handling, troubleshooting, auditing and compliance with legal obligations, the Platform may conduct automated screening of Inputs and Outputs and permit human access where necessary, within a controlled and confidential scope.
Individuals may, in accordance with the Privacy Policy, request access to and correction of their personal data, require us to cease using their personal data for direct marketing, and complain to the Privacy Commissioner for Personal Data (PCPD) regarding our handling. Such requests may be sent to Official@yawei.ai.
Enterprise Customers and YAWEI shall keep confidential any information learned through the Services that is reasonably understood to be confidential, including information concerning non-public products, business plans, customer lists, prompts, scripts, materials, model configurations and security information. This obligation does not apply to information lawfully made public, independently developed, or lawfully obtained from a third party under no obligation of confidentiality.
Once you have downloaded or exported content, or stored it in a designated system, you independently determine the purposes and means of subsequent processing and are responsible for off-platform copies, third-party recipients, consumer or data-subject requests, breach response and deletion. The Platform cannot delete off-platform copies that it no longer holds or controls. An incident caused by your systems, accounts, personnel or independently selected third-party services is subject to your response duties to the extent attributable to you, and you must promptly notify YAWEI where relevant.
Platform Actions, Suspension and Termination
You may stop using the Services, cancel your subscription, or apply to close your account through the account settings or customer service channels. Before closing your account, you should export any lawful content that you need to retain. Data deletion, anonymization and necessary retention will be handled in accordance with the Privacy Policy.
If you breach this Agreement, fail to pay fees when due, there is anomalous activity or a security risk, Service infrastructure or necessary technology becomes restricted, or a competent authority lawfully requires us to act, we may issue a warning, apply rate limits, restrict generation or export, delete or quarantine Assets, suspend features, freeze your account, revoke keys, or terminate the Services.
Where there is suspected unlawful or criminal activity, fraud, misappropriation of an identity or payment instrument, forged authorization, impersonation, a false endorsement, non-consensual intimate content, risk to minors, material infringement, an attack on the system, circumvention of security measures, prohibited resale, destruction of evidence, or repeated violations, the Platform may take immediate action without prior warning.
To prevent circumvention of enforcement action, the Platform may, where supported by reasonable evidence, impose corresponding restrictions on associated accounts, devices, workspaces, API keys and entities under common control, but will determine the scope of such restrictions in accordance with the principles of risk and proportionality.
After imposing restrictions or terminating the Services, the Platform may quarantine and retain relevant records for the period required for legal compliance, auditing, contractual recourse or dispute resolution, and may make reports to competent authorities or cooperate with investigations in accordance with law.
Except where there is an urgent risk, notice is prohibited by law, or notice could impede an investigation, we will, to a reasonable extent, explain the principal reasons and provide an appeal channel. Appeals may be sent to Official@yawei.ai. The suggested email subject line is "Account Appeal".
Where prepaid Services are discontinued, without fault on the part of the Platform, because necessary technology or infrastructure ceases, legal requirements apply or the relevant business terminates, we will, to the extent reasonably practicable, provide an alternative, an export window, service compensation, or a refund for the unperformed portion. Where an enterprise order provides otherwise, that enterprise order shall prevail.
Following termination of this Agreement, the provisions concerning payment, confidentiality, intellectual property, limitations of liability, indemnification and recourse, preservation of evidence, dispute resolution, and any other provisions which by their nature are intended to survive shall remain in effect.
Disclaimers
To the extent permitted by applicable law, the Services are provided "as is" and "as available" and may contain defects. Generative AI technology continues to evolve, and the Platform does not warrant that the Services will be permanently uninterrupted, entirely error-free, or always meet your particular purposes.
The Platform does not warrant that any Output will be true, complete, accurate, timely, exclusive, non-infringing, registrable, merchantable, fit for a particular purpose, or certain to pass review by a third-party platform. Nor does the Platform warrant any particular number of views or conversions, any amount of revenue or financing, or any particular brand or business outcome.
No warranty is given that third-party Reference Assets designated for trial or internal use, or the Outputs generated from them, are fit for commercial use. You bear the risks and losses arising from your use of Reference Assets beyond the scope of the applicable license.
Results may be affected by a third-party platform's algorithmic distribution, review, rate limiting, takedown, account bans, rejection of advertisements or transactions, as well as by audiences, budgets, copy, products, landing pages and after-sales arrangements configured by Users themselves. The Platform shall be liable only for the portion attributable to the Platform itself.
Except to the extent directly caused by YAWEI's own attributable breach, YAWEI is not responsible for loss arising from product quality or licensing, User advertising claims, consumer transactions, logistics, refunds, recalls, third-party edits, account penalties or a User's failure to conduct reasonable human review.
Unless expressly required by law or the Platform has become aware of a specific risk, YAWEI has no obligation to continuously monitor, pre-approve or conduct an item-by-item legal review of content that, after being exported by a User, is on third-party platforms, in private or closed channels, offline media, advertising accounts or customer systems.
If performance is prevented by force majeure, war, natural disaster, governmental action, public network failure, a major cyberattack, or another material infrastructure incident beyond reasonable control, the affected party shall give prompt notice and take reasonable measures to mitigate loss.
This Section does not exclude YAWEI's obligations to provide reasonable technical safeguards, data security, consumer protection, contractual performance and fault remediation, nor does it exclude liability arising from YAWEI's fraud, willful misconduct, gross negligence, or conduct for which liability cannot be excluded by law.
Limitation of Liability
In relation to enterprises, commercial Users, and Users who use the Services for business, professional or commercial purposes, to the fullest extent permitted by applicable law, YAWEI, its affiliates and licensors shall not be liable for any indirect, incidental, special, punitive or consequential loss, or for any loss of profit, revenue, goodwill, opportunity or anticipated savings, business interruption, or the cost of replacing data.
For Enterprise and commercial Users, YAWEI's aggregate liability arising out of or in connection with this Agreement, any order and the related Services is limited to the fees corresponding and attributable to the affected Services for the three consecutive months preceding the event giving rise to liability. Annual or multi-month prepayments will be prorated monthly, and relevant fees paid to an Authorized Channel are included.
Where an enterprise or commercial User uses Services that are entirely free of charge, YAWEI's aggregate liability shall not exceed HKD 100. Where an enterprise order, service-level agreement or data-processing agreement signed by both parties expressly provides otherwise, that agreement shall prevail.
The foregoing limitations do not apply to fraud, willful misconduct or gross negligence by YAWEI; death or personal injury for which YAWEI is liable by law; or any liability which applicable law expressly prohibits from being limited or excluded.
This Section does not affect any mandatory rights enjoyed by consumers under applicable law. If any provision is held invalid in the consumer's jurisdiction, it shall be modified, to the extent lawful, to achieve as closely as possible its original purpose, rather than being expanded into a complete exclusion of the Platform's liability.
Liability shall be determined by reference to actual control, fault, foreseeability, mitigation measures and causation. For liability arising from any publication location, audience, final edits, advertising claims, product transactions or further off-platform distribution independently determined by you, the Platform shall be liable only to the extent of its actual participation, a legal duty of control, or its own fault.
After becoming aware of a loss or an event that may give rise to a claim, you shall notify the Platform within a reasonable time and take reasonable measures to mitigate loss. This provision does not shorten any limitation period prescribed by applicable law or any statutory period available to consumers.
User Indemnification and Platform Recourse
For enterprises, Commercial Users and Users who use the Services for commercial purposes, if an act or omission of you, your Enterprise Members, actual end users, employees, contractors or persons acting through your accounts concerning any Input, product, service, advertisement, Output, publication, placement, transaction, fulfillment or after-sales service breaches this Agreement, law or Platform rules, violates third-party rights, involves unauthorized resale, integration, account or data use, or fails to implement reasonable remediation or safeguards, and thereby causes YAWEI, its affiliates, employees or Authorized Channels to face a claim, investigation, litigation, arbitration or administrative action, you shall be responsible and provide reasonable compensation to the extent of your conduct, fault and the direct causal connection.
To the extent permitted by law, reasonable recoverable losses include third-party claims, consumer refunds, chargebacks, settlements, administrative or platform penalties, product takedown or recall costs, content handling, technical remediation, incident response, evidence preservation, reasonable reputation mitigation, and reasonable legal, investigation, litigation and arbitration costs. They also include amounts actually paid or reasonably payable by YAWEI to a third party under law or contract to the extent attributable to the relevant conduct.
Where the Platform is named as the subject of an investigation, complaint, claim or legal proceeding, it shall have the right to control, acting reasonably, any response, defense or settlement arrangement that would bind the Platform, and will, where practicable, notify you and consider your reasonable views. Without YAWEI's written consent, you shall not admit liability, settle any matter or assume any obligation on YAWEI's behalf.
If YAWEI makes an upfront refund or payment of compensation to a rights holder, implements a decision of a competent authority, or incurs liability to a third party, this does not constitute an admission that YAWEI bears ultimate responsibility for your conduct. Where an effective decision, confirmation by both parties or sufficient evidence establishes that the matter is your responsibility, YAWEI may recover the relevant amount in accordance with law or set it off against amounts that are due, undisputed and legally eligible for set-off.
An individual consumer is subject to the obligations in this Section only to the extent permitted by applicable law and to the extent of that consumer's own fault. The consumer's rights under law to raise defenses, present evidence, obtain refunds and exercise other mandatory rights are unaffected.
If your Assets or the conduct of your end users cause a third party to seek recourse against YAWEI, you shall promptly provide the complete chain of authorization, User mappings, generation records and evidence of use, and shall bear YAWEI's reasonable direct losses to the extent attributable to you.
Nothing in this Section relieves YAWEI of, or transfers to you, YAWEI's legal obligations concerning content safety, personal data protection, consumer protection, risk handling, record retention and reporting. This Section does not apply to liability arising from YAWEI's own fraud, willful misconduct or gross negligence, or liability that cannot be excluded by law.
Updates to the Agreement, Notices, Governing Law and Miscellaneous
We may update this Agreement in response to changes in law, regulation, Platform rules, functionality, security or business models. For ordinary changes, the version and effective date will be published within the Services.
If a change has a material adverse effect on fees, automatic renewal, limitations of liability, material data uses, dispute resolution or core functionality, we will provide prominent advance notice by in-app notice, by email to the address associated with your account, or by website notice.
Where the law requires renewed consent to a change, that change will take effect in relation to you only after you affirmatively consent. Continued use of the Services does not replace any separate consent required for sensitive personal data, cross-border transfers, marketing or model training.
We may send service notices by in-app notice, email, SMS or website notice. You shall keep your contact details valid. Emails sent to Official@yawei.ai that clearly state the account, matter and contact person may be used to submit customer service requests, privacy requests, complaints, appeals or legal notices to YAWEI.
This Agreement, the Privacy Policy, the purchase page, orders, Enterprise Services Addenda, data-processing agreements and feature-specific terms collectively constitute the agreement between the parties. In the event of a conflict, an order or specific addendum signed by both parties shall prevail only with respect to the matter expressly addressed in it. Mandatory protections relating to personal data and consumers may not be reduced.
This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without prejudice to any mandatory protections in the consumer's jurisdiction that cannot be excluded by contract.
If a dispute arises, the parties shall first negotiate in good faith through Official@yawei.ai and use reasonable efforts to resolve the dispute within 30 days after receipt of a complete notice of dispute. Such negotiations do not preclude either party from applying for urgent injunctive relief or preservation of evidence, filing a complaint with a competent authority, or commencing proceedings within the statutory time limit.
If negotiations fail, enterprise and commercial Users agree to submit the dispute to a court of competent jurisdiction in the Hong Kong Special Administrative Region. Consumers may assert their rights before a court of competent jurisdiction or a consumer dispute resolution body in accordance with the mandatory laws of their jurisdiction.
If any provision is held invalid or unenforceable, the remaining provisions are unaffected. A party's failure to exercise a right immediately does not constitute a waiver. Headings are for convenience only and do not affect interpretation.
You may not assign this Agreement without YAWEI's consent. YAWEI may assign this Agreement to a successor entity in connection with a merger, reorganization, financing or transfer of business and will give notice in accordance with law. An assignment may not reduce statutory consumer rights or the level of data protection.
You and YAWEI are independent contracting parties. Except as otherwise provided in a written channel agreement, this Agreement does not create an agency, partnership, joint venture, employment, franchise, fiduciary, or joint operation relationship. You have no authority to make commitments, accept orders, admit liability or otherwise bind YAWEI on its behalf.
The Platform may provide this Agreement in Chinese, English or other languages. Except where mandatory law requires otherwise, the English version is the controlling text. A local-language version made available and accepted at registration or purchase is provided for explanation, and any inconsistency will, without reducing non-waivable rights, be interpreted in accordance with the English version.
